Agreement
These Terms of Service (“Terms”) are a contract between you andVipanibiz Pvt Ltd (“Vipani”) for access to vipani.co and Vipani products and services (the “Services”). By creating an account, accessing the Services, or clicking to accept, you agree to these Terms.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
Accounts & access
- You must provide accurate registration information and keep it current.
- You are responsible for activity under your credentials and for keeping passwords and access tokens confidential.
- Organization admins may manage users, permissions, and data within their workspace.
- We may suspend or terminate access for security risks, unpaid fees, or material breaches of these Terms.
Acceptable use
You agree not to:
- Violate law or third-party rights
- Probe, scan, or attack our systems, or attempt unauthorized access to other tenants’ data
- Interfere with the Services’ integrity or performance, including by reverse engineering except where permitted by law
- Use Agents or automation to spam, harass, or process unlawful content
- Misrepresent affiliation with Vipani
Subscriptions & trials
Paid plans, usage-based fees, and trials are described in your order form, checkout flow, or partner agreement. Fees are non-refundable except where required by law or expressly stated. You authorize us (or our payment processor) to charge applicable amounts. Late or failed payments may result in suspension. See also the Billing tab for plan changes and ending a plan.
Intellectual property & your data
Vipani and its licensors own the Services, including software, branding, and documentation. You retain rights to content you submit (“Customer Data”). You grant Vipani a limited license to host, process, and display Customer Data solely to provide and secure the Services.
Feedback you provide may be used by Vipani without obligation to you.
Disclaimer & liability
The Services are provided “as is” to the fullest extent permitted by law. Vipani disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.
To the maximum extent permitted by law, Vipani’s aggregate liability arising out of these Terms or the Services is limited to the amounts you paid Vipani for the Services in the twelve (12) months before the claim. Vipani is not liable for indirect, incidental, special, consequential, or punitive damages.
Changes
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after the effective date constitutes acceptance, except where applicable law requires additional notice or consent.

Who we are
This Privacy Policy describes how Vipanibiz Pvt Ltd (“Vipani”, “we”, “us”) handles personal information when you use vipani.co, related marketing sites, and Vipani products such as Superapp, Manifest, Vaani, and Agents (together, the “Services”).
If you use Vipani on behalf of a business customer, that organization’s administrator may control your account and some data processed in their workspace. This policy covers information Vipani processes as a service provider and as a website operator.
Data we collect
Depending on how you interact with us, we may collect:
- Account and contact data — name, work email, phone, company, role, and authentication details when you register or request a demo.
- Business content — data you or your organization upload or generate in Superapp and related products (for example transactions, parties, documents, and messages), subject to your organization’s settings.
- Usage and device data — IP address, browser type, pages viewed, approximate location derived from IP, and similar diagnostics needed to operate and secure the Services.
- Cookies and similar technologies — as described in ourCookie Policy.
- Support communications — messages you send to support or sales, including attachments you choose to share.
- Location data (mobile app) — when you use attendance features in the Vipani mobile app, as described underLocation data (Vipani mobile app).
Location data (Vipani mobile app)
VIPANIBIZ PRIVATE LIMITED (“Vipani”) collects location from the Vipani mobile app only for work attendance, not for advertising.
Clock in / clock out. We collect your approximate or precise location when you mark attendance so your employer can confirm you were at an allowed workplace (geo-fence). This uses location while you are using the app.
Geo-tracking (optional, set by your employer). If your shift has geo-tracking enabled and you clock in, we collect location in the background while you remain clocked in. Pings are stored on that day’s attendance record so managers can view your work trail on Geo-Tracking. A persistent notification is shown while this runs. Collection stops when you clock out, or if geo-tracking is not enabled.
Permissions. Android may ask for location while using the app, then “Allow all the time” for background tracking. You can refuse background location; clock-in/out may still work with foreground location, but the work trail will be incomplete.
What we store. Coordinates and time (and related attendance fields). This is tied to your employer’s Vipani workspace.
Who sees it. Authorized users of that business (for example HR / managers), and our infrastructure providers that host the app. We do not sell location data or use it for ads.
Retention. Kept with attendance records for as long as the business retains those records, or as required by law.
Your choices. Clock out to stop tracking. Revoke location in system Settings. Ask your employer or Vipani support to access or delete attendance location data where applicable.
How we use data
We use personal information to:
- Provide, maintain, and improve the Services
- Authenticate users and protect accounts and infrastructure
- Respond to demos, support requests, and partnership inquiries
- Send product and service communications (you can opt out of marketing emails)
- Analyze aggregated usage to improve reliability and features
- Comply with law and enforce our Terms of Service
We do not sell your personal information. Where we rely on consent (for example optional analytics cookies), you can withdraw it at any time viaCookie preferences.
Sharing
We may share information with:
- Service providers who help us host, secure, send email, or analyze the Services under contractual confidentiality and data protection terms
- Your organization, when you use Vipani under a business account
- Professional advisors or authorities when required by law or to protect rights, safety, and security
- Successors in connection with a merger, acquisition, or asset sale, subject to this policy’s protections
Retention & security
We retain personal information only as long as needed for the purposes above, including legal, accounting, or reporting requirements. Security practices for our products are summarized on ourSecurity page.
Your rights
Depending on where you live, you may have rights to access, correct, delete, or export personal information, or to object to certain processing. Business customers should contact their Vipani admin first for workspace data. For requests Vipani controls directly, emailsupport@vipani.co.

Overview
This Billing Policy explains how Vipanibiz Pvt Ltd (“Vipani”) charges for paid Services (including Superapp and related products), how you can change or end a plan, and when we issue credits or other adjustments. It applies together with our Terms of Service (Terms tab). If an order form or checkout flow states different commercial terms, those terms control for that purchase.
Plans & charges
- Fees, billing intervals (for example monthly or annual), taxes, and included usage are shown at checkout, in your workspace billing settings, or in a written order.
- Unless stated otherwise, subscription fees are charged in advance for each billing period.
- Prices may change for future periods; we will describe material price changes in product communications or your next renewal notice where required.
Plan changes
You (or your organization admin) may upgrade, downgrade, or adjust seats or add-ons where the product allows. Upgrades may be prorated and billed for the remainder of the current period. Downgrades typically take effect at the next renewal so you keep access already paid for in the current period.
Ending a plan
You may stop renewing a subscription at any time from billing settings or by contacting support. Access to paid features continues through the end of the period you have already paid for, unless we agree otherwise in writing.
Because subscriptions are prepaid for a defined period, amounts already paid for the then-current period are generally not returned when you end renewal mid-period. Exceptions may apply where required by law, where a charge was made in error, or where Vipani expressly offers an adjustment for a specific plan or promotion.
Vipani may end or suspend a paid plan for material breach of the Terms, non-payment, or security risk, as described in the Terms of Service.
Credits & adjustments
If you believe a charge is incorrect, contact us promptly with the invoice or receipt details. Where we confirm a billing error, duplicate charge, or qualifying service issue, we may:
- Correct the invoice and apply a credit to your account, or
- Return the disputed amount to the original payment method
Trial, promotional, or complimentary access may have different rules stated at signup; unused promotional value typically has no cash value.
Failed payments
If a renewal payment fails, we may retry the charge and notify the billing contact. Continued failure may lead to suspension or loss of paid features until payment succeeds or the plan ends.
